        Read this carefully. By using AgentForge, you agree to these terms. If you don't agree, don't use the service. These terms limit our liability — know what you're signing up for.
    

1. Who We Are

AgentForge ("we", "us", "our") provides AI-powered business automation services. Our platform deploys autonomous AI agents that perform tasks on behalf of your business — including responding to customer messages, managing calendars, drafting content, and handling routine operations.

2. What You're Agreeing To

By accessing or using AgentForge (the "Service"), you ("you", "the Client", "the Customer") agree to be bound by these Terms of Service ("Terms"). If you're using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

We may update these Terms from time to time. Continued use after changes constitutes acceptance. We'll notify you of material changes via email or dashboard notification.

3. The Service

3.1 AI Agent Hosting

We provide a managed AI agent that runs in a dedicated container on our infrastructure. The agent operates autonomously based on your configuration and instructions.

3.2 What We Handle

Infrastructure provisioning, monitoring, and maintenance
Agent software updates and security patches
Integration setup and configuration
Dashboard access for monitoring and control

3.3 What You Handle

Providing accurate business information for agent configuration
Reviewing agent outputs and actions
Maintaining your own backups of critical business data
Complying with applicable laws in your jurisdiction
Ensuring your use of the Service complies with third-party platform terms (e.g., Facebook, Google, Telegram)

4. AI Agent Behaviour

        Important: AI agents are autonomous systems. They may produce unexpected, incorrect, or unintended results. You acknowledge this risk by using the Service.
    

4.1 No Guarantee of Accuracy

AI agents may generate incorrect information, make suboptimal decisions, or take unexpected actions. We do not guarantee that agent outputs will be accurate, appropriate, or error-free.

4.2 Your Responsibility

You are responsible for:

Monitoring your agent's actions via the dashboard
Setting appropriate permissions and guardrails
Reviewing critical outputs before they reach customers or third parties
Maintaining independent backups of all important data

4.3 Our Responsibility

We are responsible for:

Providing reasonable guardrails and approval mechanisms
Maintaining infrastructure uptime within our SLA
Responding to reported issues in a timely manner
Logging agent actions for auditability

5. Payments & Billing

5.1 Subscription

The Service is billed monthly via Stripe. Prices are as listed on our website at time of purchase. We reserve the right to change pricing with 30 days' notice.

5.2 Token Usage

Plans include a monthly token allocation. Soft limits apply — we won't cut off your agent mid-task, but sustained overage may require a plan upgrade.

5.3 Cancellation

You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time. Your agent will be decommissioned within 7 days of cancellation.

5.4 Refunds

We do not offer refunds except at our sole discretion. If the Service is materially unavailable for an extended period, we may issue a credit at our discretion.

6. Limitation of Liability

This is the important bit. Read it.

6.1 Maximum Liability

Our total liability to you for any claims arising from or related to the Service shall not exceed the total fees you paid us in the twelve (12) months immediately preceding the claim.

6.2 Excluded Damages

To the maximum extent permitted by law, we shall not be liable for any:

Indirect, incidental, special, consequential, or punitive damages
Loss of revenue, profits, or business opportunity
Loss of data, records, or databases
Loss of goodwill or reputation
Cost of procuring substitute services

This applies regardless of whether such damages arise from breach of contract, tort (including negligence), strict liability, or any other legal theory — even if we have been advised of the possibility of such damages.

6.3 AI-Specific Disclaimer

We specifically disclaim liability for:

Actions taken by AI agents that were not intended or expected
Incorrect information provided by AI agents to your customers or third parties
Business decisions made based on agent outputs
Data modifications made by agents within your connected systems
Damage to your business relationships resulting from agent communications

6.4 Essential Purpose

The limitations in this section apply even if any limited remedy provided herein fails of its essential purpose.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy, reliability, or completeness of any content or outputs
Warranties that the Service will meet your specific requirements

8. Indemnification

You agree to indemnify, defend, and hold harmless AgentForge, its owner(s), operator(s), and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content your agent generates or actions it takes on your behalf
Your failure to maintain adequate backups or oversight of agent activity

9. Data & Privacy

9.1 Your Data

You retain ownership of all data you provide to the Service. We process it solely to provide the Service. See our Privacy Policy for details.

9.2 Agent Data

Agents generate data (logs, outputs, configurations) as part of their operation. This data is stored on our infrastructure and accessible via your dashboard.

9.3 Backups

We perform infrastructure-level backups for disaster recovery. You are responsible for maintaining your own backups of business-critical data. We are not a backup service and shall not be liable for data loss.

9.4 Data Deletion

Upon cancellation, we will delete your agent and associated data within 30 days. See our Data Deletion Policy for details.

10. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Infringe on intellectual property rights
Send spam, unsolicited communications, or deceptive content
Process data in violation of GDPR, CCPA, or other data protection laws
Attempt to access other customers' data or infrastructure
Use the Service to develop a competing product
Reverse engineer, decompile, or disassemble any part of the Service

11. Intellectual Property

The Service, including all software, designs, documentation, and branding, is our intellectual property. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period.

12. Termination

12.1 By You

You may terminate at any time by cancelling via the dashboard or contacting us.

12.2 By Us

We may terminate or suspend your access immediately if:

You breach these Terms
Your payment fails and is not remedied within 7 days
We are required to do so by law
We reasonably believe your use poses a risk to the Service or other users

12.3 Effect of Termination

Upon termination, your agent will be decommissioned and your data will be deleted in accordance with our data retention policies. Sections 6, 7, 8, and 13 survive termination.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

13.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentForge regarding the Service.

13.4 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.5 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
